Prep Byme Ltd – Terms & Conditions (Updated)

Effective Date: May 2025

This Service Agreement ("Agreement") is entered into by and between 'Prep Byme Ltd', a UK corporation with offices at Anglesey House, The Rear Building, Anglesey Rd, Burton-on-Trent DE14 3NT ("Prep Byme"), and the Client ("Company"). By using the services of Prep Byme, the Company agrees to these legally binding terms.

1. PROGRAM OVERVIEW

Prep Byme provides FBA/FBM prep services, including labeling, inspection, packaging, warehousing, and shipping of products to Amazon warehouses. These services are subject to the terms described herein.

2. PRICING & PAYMENT

2.1. Pricing Plans

2.2. Payment Terms

Payment methods include bank transfer, ACH, debit card, or wire.
Monthly subscriptions are auto-charged based on signup date.
Invoices are emailed on billing day.

2.3. Late Payments
    •    A late payment fee of 5% (minimum £10) will be applied to all invoices not paid by the due date.
    •    If payment remains outstanding for more than 5 days, Prep By Me reserves the right to suspend services until the account is brought up to date.
    •    If the invoice remains unpaid for over 30 days, an additional late fee of 10% (minimum £10) will be added to the outstanding amount.
    •    After 60 days of non-payment, Prep By Me reserves the right to liquidate any inventory held to recover outstanding debts, without further notice.

 2.4. Price Changes

Pricing may change with 7 days' notice via email or website notice.

3. SERVICES PROVIDED

 Receive shipments and prepare products per client or Amazon specs.
 Package and ship products to Amazon or other destinations.
Additional services available upon agreement.

4. SERVICE LEVEL & PROCESSING TIMES

 <500 units: 1–2 business days
 500–2000 units: 2–3 business days
 > 2000 units: Case-by-case
 Note: These are service targets, not guarantees.

5. INVENTORY MANAGEMENT

 5.1. Inbound Notice

48-hour advance inbound notice is mandatory via PBApp.
Goods arriving without notice may be quarantined.

5.2. Receiving Hours

Monday–Friday, 10:00 AM–5:00 PM
Company is responsible for booking appointments for carrier deliveries.

5.3. Inventory Audits

Prep Byme does not verify SKUs inside cases unless requested.
Inventory audits are conducted post-shipment unless paid separately.

6. RISK, INSURANCE & LIABILITY

 

6.1. Risk of Loss

Client bears risk of loss while inventory is in Prep Byme's custody.

 

6.2. Insurance

Client must maintain insurance coverage for their inventory.
Prep Byme is not liable for theft, fire, flood, or other damage unless due to gross negligence.

7. ABANDONED ACCOUNTS

Accounts unpaid for 60+ days are deemed abandoned.
Accounts inactive for 90+ days are deemed abandoned.
Inventory may be liquidated to cover unpaid balances.

8. CONFIDENTIALITY

Both parties agree to keep all proprietary information confidential.
Confidentiality remains for 3 years after termination.

9. DATA & PRIVACY

Prep Byme complies with GDPR and UK Data Protection laws.
Client data is processed in accordance with our Privacy Policy.

10. INDEMNIFICATION

Each party agrees to indemnify and hold the other harmless from third-party claims arising from:

Negligent acts;
Breach of this Agreement;
Misuse of services.

11. REPRESENTATIONS AND WARRANTIES

Each party warrants that:

They are legally authorized to enter into this Agreement;
They hold rights to the products being handled;
They are in compliance with all applicable laws.

12. TERMINATION

Either party may terminate with 30 days’ written notice.
Immediate termination may occur for non-payment or misuse.

13. FORCE MAJEURE

Neither party shall be held liable for failure to perform due to events beyond their control (e.g., natural disasters, strikes, pandemics).

14. GOVERNING LAW & DISPUTE RESOLUTION

Governed by the laws of England and Wales.
Parties agree to attempt mediation before litigation.

16. AMENDMENTS

This Agreement may only be amended in writing with mutual consent.

17. ENTIRE AGREEMENT

This Agreement represents the full and final understanding between the parties and supersedes all prior agreements.

18. DISCLAIMER OF WARRANTIES

Services are provided "as is" and "as available."
No warranties expressed or implied.

19. LIMITATION OF LIABILITY

Prep Byme’s total liability shall not exceed amounts paid by the Client for the Services, excluding carrier and third-party fees.
No liability for indirect, incidental, or consequential damages.

By continuing to use Prep Byme’s services, the Company accepts these updated Terms & Conditions in full.
